1.1 This website, available at www.roco.co.za (the “Website”), is operated by Roco (Pty) Ltd (registration number 2011/008516/07), a private company incorporated in the Republic of South Africa with its registered address at 26 Eastgate Business Park, Cnr South Road and Marlboro Drive, Sandton. roco.co.za

1.2 These Terms and Conditions (“Terms”) govern:

your access to and use of the Website; and

any orders you place for products (“Products”) made available for sale on the Website.

1.3 By using the Website, registering an account or placing an order, you confirm that you:

have read, understood and agree to be bound by these Terms; and
-
are legally capable of entering into a binding contract under South African law.

1.4 If you do not agree with these Terms, you must not access or use the Website and you must not place any orders.

1.5 These Terms must be read together with:

our Shipping and Returns Policy (Last updated: 23 October 2025);

our Privacy Notice / POPIA notice (if published separately on the Website).

All of these documents form part of the contract between you and ROCO.

2. Scope and Application

2.1 These Terms apply to online purchases only and to deliveries made within the Republic of South Africa.

2.2 These Terms do not override any non-excludable rights you have under:

the Consumer Protection Act, 2008 (“CPA”);
-
the Electronic Communications and Transactions Act, 2002 (“ECTA”); and
-
any other applicable South African law.

If there is any conflict between these Terms and mandatory provisions of law, the law will prevail.

3. Legal Capacity and Eligibility

3.1 You may only use the Website and place orders if you:
-
are 18 years or older, or are duly authorised to act on behalf of a business customer; and
-
have the necessary legal capacity to enter into a binding agreement.

3.2 By placing an order, you warrant that all information you provide is true, accurate and complete.

4. Website Use and Account
-
4.1 You may browse the Website without registering. Certain functions (such as placing an order, viewing order history or saving details) may require you to create an account.

4.2 When you register:

you must provide accurate and current information;
-
you are responsible for keeping your login details secure; and
-
you accept that any activity under your account will be treated as authorised by you.

4.3 ROCO may suspend or terminate your access to the Website or your account at any time:

where we reasonably suspect fraud, abuse, or a breach of these Terms;

to comply with law or a regulatory request; or
-
for security or operational reasons.

4.4 You must not use the Website:

for any unlawful or fraudulent purpose;
-
to interfere with or disrupt the Website or any related systems; or
-
to upload or transmit any harmful or malicious code.

5. Product Information, Pricing and Availability

5.1 We try to ensure that all Product descriptions, images, specifications and prices on the Website are accurate and up to date. However:

packaging and appearance may vary slightly from images;
-
specifications may change without notice; and
-
stock levels are subject to availability at the time of processing your order.

5.2 All prices:

are shown in South African Rand (ZAR);
-
include VAT, where applicable; and
-
exclude delivery charges, which are calculated and shown at checkout.

5.3 We reserve the right to:

correct any obvious or inadvertent errors in prices or descriptions; and
-
change prices or withdraw Products at any time before we accept your order.

5.4 If we discover an obvious pricing or description error after you have placed an order, we may:

cancel the order and refund any amounts paid; or
-
contact you and give you the option to confirm the order at the correct price or cancel.

6. Orders and Conclusion of the Contract

6.1 When you place an order on the Website, you are making an offer to buy the selected Products on these Terms. The order is not binding on ROCO at that stage.

6.2 We will acknowledge receipt of your order by email or on-screen confirmation. This is a record that we received your order, not our acceptance of it.

6.3 A binding contract of sale is only formed when we:

receive full payment; and
-
accept your order by confirming that the Products have been dispatched or are ready for collection.

6.4 We may refuse or cancel an order (in whole or in part) if:
-
the Product is out of stock or discontinued;
-
there is a material error in the price or Product information;
-
we reasonably suspect fraud or unauthorised use of payment details; or
-
we are unable to verify or process payment.

Where we cancel an order after you have paid, we will refund the relevant amounts to your original payment method.

7. Payment and Security

7.1 Available payment methods will be displayed at checkout and may include, for example:
-
major credit or debit cards;
-
instant EFT; and/or
-
other secure payment options made available from time to time.

7.2 Payments are processed via one or more third-party payment service providers. By submitting your payment details, you authorise ROCO and our payment providers to process the transaction.

7.3 We will not be responsible for any loss you may suffer arising from:
-
incorrect details supplied by you; or
-
actions or omissions of third-party payment providers, except where required by law.

7.4 For card payments, you may be required to complete additional authentication (for example, 3D Secure) as required by your card issuer and/or applicable standards.

8. Delivery, Risk and Shipping
-
8.1 Delivery options, areas, timing, fees and conditions are set out in detail in our Shipping and Returns Policy (Last updated: 23 October 2025). That policy forms part of these Terms, and you should read it carefully before placing an order.

8.2 In summary:
-
we deliver to physical addresses within South Africa where a courier can obtain a signature;
-
we do not deliver to PO Boxes;
-
dispatch and courier timeframes are estimates and may vary; and
-
delivery charges are shown during checkout, including any surcharges for bulky or oversized items.

8.3 Risk and ownership:
-
Risk in the Products passes to you when the Products are delivered to the address you supplied and signed for, or when you (or your representative) collect them.
-
Ownership of the Products passes to you only once we have received full payment.
-
8.4 If we fail to execute your order within the period agreed, you may cancel in accordance with the Electronic Communications and Transactions Act. If you have already paid, we will refund you in full.

9. Returns, Cooling-Off and Refunds
-
9.1 Our detailed returns process, time frames and conditions are set out in the Shipping and Returns Policy, which incorporates and explains your rights under South African law, including:
-
your rights in respect of defective or unsafe goods within 6 months;
-
your cooling-off rights for certain electronic transactions under ECTA;
-
your cooling-off rights following direct marketing under the CPA; and
-
our voluntary change-of-mind returns for unused, unopened items in saleable condition.

9.2 In summary (without limiting the full policy):
-
If goods are defective, unsafe or not of acceptable quality, you may return them within 6 months of delivery for a repair, replacement or refund, at our cost and risk.
-
For eligible online purchases, you may cancel under ECTA within 7 days of receiving the goods, paying only the direct cost of returning them (unless an exception applies).
-
For direct marketing transactions where the CPA applies, a 5 business day cooling-off period may apply.
-
Our voluntary 14-day change-of-mind policy applies to unused, unopened items in original packaging and in saleable condition; you are responsible for return shipping and risk.

9.3 Refunds will:
-
be made to the original payment method, where possible; and
-
typically exclude original delivery charges and any lawful collection or handling fees for change-of-mind or cooling-off returns, unless we are at fault or the goods are defective.

9.4 Time frames for processing returns and refunds are described in the Shipping and Returns Policy. As a guide, once approved, refunds may take up to 10 business days to reflect, depending on your bank or card issuer.

10. Warranties, Installation and Compatibility

10.1 Products may carry manufacturer warranties in addition to your statutory rights. Any such warranties are subject to the manufacturer’s terms.

10.2 You are responsible for:
-
ensuring the Product is suitable for your intended purpose and compatible with your installation; and
-
following installation and usage instructions supplied with the Product or by the manufacturer.

10.3 Many ROCO Products, particularly hardware and fittings, require competent installation. ROCO is not liable for damage, loss or injury arising from:
-
incorrect or unsafe installation;
-
misuse or abuse;
-
unauthorised modification or alteration; or
-
normal wear and tear.

10.4 Nothing in these Terms limits your legal rights under the CPA in respect of defective or unsafe goods.

11. Intellectual Property

11.1 All content on the Website (including text, graphics, logos, images, product data, downloads and software) is owned by or licensed to ROCO (Pty) Ltd and is protected by South African and international intellectual property laws.

11.2 You may:

view, download and print content for personal, non-commercial use only.

11.3 You may not, without our prior written permission:
-
copy, reproduce, modify, adapt, distribute or publish any content;
-
use any trade mark, logo or other proprietary mark; or
-
use the Website or its content for any commercial purpose other than purchasing Products from ROCO.

12. Privacy and Personal Information

12.1 We respect your privacy and handle personal information in accordance with:

the Protection of Personal Information Act, 2013 (“POPIA”); and
-
any Privacy Notice / POPIA notice or cookie notice published on the Website.

12.2 By using the Website and placing orders, you consent to us:

collecting, storing and processing personal information necessary to process your orders, manage your account and comply with legal obligations; and
-
sharing certain information with third parties where necessary (for example couriers, payment processors and IT service providers), subject to appropriate safeguards.

12.3 You have the rights granted under POPIA, including rights of access, correction and, where applicable, objection. Details of how to exercise these rights are set out in our Privacy Notice.

13. Limitation of Liability

13.1 To the fullest extent permitted by law, the Website and its content are provided “as is” and “as available” and we do not warrant that:

access will be uninterrupted, timely or error-free; or
-
the Website will be free of viruses or other harmful components (although we take reasonable steps to reduce such risks).

13.2 ROCO will not be liable for:

any indirect, consequential or special loss or damage;
-
loss of profits, revenue, business, data or goodwill;
-
any loss arising from events beyond our reasonable control (including courier delays, strikes, load-shedding, network or system failures).

13.3 Nothing in these Terms excludes or limits:

liability for death or personal injury caused by our gross negligence; or
-
any liability we cannot lawfully exclude under the CPA or other applicable law.

14. Complaints and Dispute Resolution

14.1 If you have a concern or complaint about:

a Product;
-
your online order; or
-
the Website,

please contact us using the details in clause 16 so we can try to resolve it directly.

14.2 You also have the right to refer disputes relating to goods or services to the Consumer Goods and Services Ombud (CGSO), where applicable, in terms of the CPA.

15. Governing Law and Jurisdiction

15.1 These Terms, and any dispute arising from them or from your use of the Website, are governed by the law of the Republic of South Africa.

15.2 You consent to the non-exclusive jurisdiction of the South African courts in relation to any such dispute.
